The exact services provided to a client will be determined by the applicable proposal, quotation, agreement, invoice, or written communication.

2. Acceptance of Terms

By using asdigieyas.com or purchasing services from AS DigiEyas, you confirm that:

• You are legally capable of entering into an agreement.
• The information you provide is accurate and complete.
• You have authority to engage our services on behalf of a business or organization, where applicable.
• You agree to comply with these Terms & Conditions.

3. Service Agreement

Before starting a project, AS DigiEyas may provide a proposal, quotation, scope of work, service agreement, or other written confirmation.

The agreed document may specify:

• Fees

• Client responsibilities

4. Client Responsibilities

The client agrees to provide AS DigiEyas with accurate, complete and timely information necessary to perform the services.

Depending on the project, the client may be required to provide:

• Business information
• Website access
• Domain/hosting access
• Social media access
• Google Business Profile access
• Google Ads access
• Meta Business Manager access
• Brand guidelines
• Logos and images
• Product/service information
• Content and marketing materials
• Approvals and feedback

Delays in providing required information, access, approvals or materials may affect project timelines.

5. Digital Marketing Results

AS DigiEyas will make reasonable professional efforts to provide the agreed services.

However, digital marketing results cannot be guaranteed.

We do not guarantee:

• A specific Google ranking
• A specific number of website visitors
• A specific number of leads
• A specific number of sales
• A specific advertising return on investment (ROI)
• A specific social-media follower count
• A specific advertising conversion rate
• Approval of advertisements by third-party platforms

SEO, advertising and social-media performance can be affected by search-engine algorithms, competition, market conditions, advertising platforms, website performance, customer behaviour and other factors outside our control.

6. SEO Services

SEO results may take time and vary depending on the website, industry, competition, technical condition and search-engine algorithms.

AS DigiEyas does not guarantee first-page or first-position rankings on Google or any other search engine.

Search engines may change their algorithms, policies or ranking systems without notice.

We are not responsible for ranking changes caused by algorithm updates, competitor activity, penalties resulting from previous activities, website changes made by third parties, or other external factors.

7. Advertising Services

For Google Ads, Meta Ads and other paid advertising services:

• Advertising budgets are generally paid by the client.
• Advertising-platform charges are separate from AS DigiEyas professional fees unless otherwise agreed.
• Campaign approval is controlled by the relevant advertising platform.
• Ads may be rejected, restricted, suspended or modified by third-party platforms.
• Results may vary based on budget, competition, audience, market conditions and other factors.

AS DigiEyas cannot guarantee a particular number of leads, sales or conversions.

8. Website Development

Where website development is included, the project scope will be based on the agreed proposal or quotation.

Unless otherwise agreed, the client is responsible for providing:

• Website content
• Business information
• Product/service information
• Images
• Logo and branding materials
• Required legal documents
• Timely feedback and approvals

Additional functionality or changes outside the agreed scope may result in additional charges.

9. Domain and Hosting

Domain names, hosting, SSL certificates, premium themes, plugins, software licenses and other third-party services may involve separate charges.

Unless specifically stated otherwise, these third-party services are not included in AS DigiEyas service fees.

Renewal fees for third-party services are the responsibility of the client unless otherwise agreed.

10. Content and Intellectual Property

The client is responsible for ensuring that materials supplied to AS DigiEyas do not infringe the intellectual-property rights of another person or organization.

Client-provided materials may include:

• Logos
• Photographs
• Videos
• Text
• Product images
• Brand materials
• Documents
• Trademarks

The client grants AS DigiEyas permission to use such materials for the purpose of providing the agreed services.

Unless otherwise agreed in writing, AS DigiEyas retains ownership of its pre-existing templates, processes, strategies, methodologies, tools, systems and proprietary materials.

11. Third-Party Platforms

AS DigiEyas may use third-party platforms and services, including:

• Google
• Meta
• Instagram
• Facebook
• LinkedIn
• YouTube
• Google Analytics
• Google Search Console
• Hosting providers
• Email platforms
• Marketing software
• Other technology platforms

These platforms have their own terms, policies and privacy practices.

AS DigiEyas is not responsible for changes, outages, account suspensions, policy decisions, algorithm changes or technical failures caused by third-party platforms.

12. Payment Terms

Fees and payment schedules will be specified in the applicable quotation, invoice or agreement.

Unless otherwise agreed:

• Payments must be made according to the agreed schedule.
• Taxes, government charges and third-party costs may be charged separately where applicable.
• Advertising budgets are separate from agency fees unless expressly included.
• Work may be paused if agreed payments are overdue.

AS DigiEyas reserves the right to suspend services where outstanding payments remain unpaid after reasonable notice.

13. Additional Work

Requests outside the agreed scope may be treated as additional work.

Additional charges may apply for:

• Extra pages
• Additional website functionality
• Additional revisions
• New campaigns
• Additional creative designs
• Additional social-media platforms
• Additional content
• Major changes to an approved design
• Additional meetings or consultations beyond the agreed scope

Any significant additional work may require client approval before commencement.

14. Revisions and Approvals

Where revisions are included in the agreed package, the number of revisions will be based on the proposal or service agreement.

The client is responsible for reviewing and approving content, designs, advertisements and other deliverables.

Once a deliverable has been approved, subsequent major changes may be treated as additional work.

15. Cancellation and Termination

Either party may terminate an ongoing service arrangement according to the notice period specified in the applicable agreement.

If no notice period has been specified, reasonable written notice may be required.

Upon termination:

• Outstanding invoices become payable.
• Work completed up to the termination date may be invoiced.
• Third-party expenses already incurred may remain payable.
• Access to certain services or accounts may be discontinued after termination.

Any refund will be handled according to the applicable quotation, agreement and refund policy.

16. Refund Policy

Fees for completed services, completed work, third-party purchases or non-refundable expenses may not be refundable.

Where a refund is applicable, the amount and process will be determined according to the applicable service agreement or refund policy.

Advertising-platform charges, domain registrations, hosting fees, software licenses and other third-party charges may be non-refundable.

17. Confidentiality

AS DigiEyas may receive confidential business information from clients while providing services.

We will take reasonable steps to keep confidential business information protected and will use it only as reasonably necessary to provide the agreed services, except where disclosure is required by law or authorized by the client.

The client also agrees not to disclose AS DigiEyas confidential business information, proprietary strategies, pricing structures or internal processes without appropriate authorization.

18. Data Protection and Privacy

The collection and handling of personal information through our website and services is governed by our Privacy Policy.

19. Prohibited Activities

Clients must not use AS DigiEyas services for activities that are illegal, fraudulent, deceptive, abusive or intended to cause harm.

• Trademark infringement
• False advertising
• Illegal products or services
• Spam
